ImagineLux General Terms and Conditions

These General Terms and Conditions apply to all services, proposals, itineraries, bookings, content, products, communications, and website use provided by ImagineLux, Ltd. (“ImagineLux,” “we,” “our,” or “us”). By using our website, communicating with us, requesting a proposal, approving an itinerary, making payment, or participating in any travel arrangement booked through ImagineLux, the purchaser and/or traveler (“Customer,” “traveler,” “passenger,” “you,” or “your”) agrees to be bound by these General Terms and Conditions.

These Terms limit certain rights and remedies, include warranty disclaimers and exclusions of liability, and provide protections to ImagineLux. Please read them carefully before confirming any travel arrangement.

  1. Nature of Our Services

ImagineLux is an outbound travel agency and travel-planning company. We assist Customers in designing, coordinating, and booking travel arrangements through independent third-party suppliers, which may include hotels, airlines, cruise lines, air charters, ground transportation providers, guides, tour operators, destination management companies, restaurants, activity providers, insurance providers, booking platforms, and other travel-related service providers.

Unless expressly stated otherwise in writing, ImagineLux does not own, manage, operate, control, or supervise the third-party services included in any travel arrangement. All such services are provided by independent suppliers and are subject to their own terms, conditions, limitations, rules, restrictions, tariffs, schedules, and policies.

  1. Customer Authority and Booking Responsibility

By requesting, approving, or paying for travel services, Customer represents that Customer is at least eighteen (18) years of age and has full legal authority to enter into this agreement and make travel bookings on behalf of Customer and all travelers included in the booking.

Customer is financially responsible for all reservations, purchases, payments, changes, cancellations, and other transactions made by Customer or under Customer’s name, account, authorization, or direction, including transactions made for minors or other persons for whom Customer is legally authorized to act.

Customer warrants that all information provided to ImagineLux is true, complete, accurate, and not misleading. Speculative, false, fraudulent, or demand-based reservations are strictly prohibited. Booking services may be used only for legitimate travel arrangements for Customer or for persons for whom Customer is legally authorized to act.

  1. Supplier Terms and Third-Party Conditions

All travel-related goods and services are subject to the terms, conditions, rules, restrictions, payment requirements, cancellation policies, and liability limitations of the applicable suppliers. Customer agrees to comply with all such supplier terms.

By authorizing ImagineLux to arrange travel services, Customer authorizes ImagineLux to book services through third-party suppliers, platforms, and systems on Customer’s behalf and ratifies ImagineLux’s acceptance of such third-party terms. Supplier terms may limit Customer’s rights, impose penalties, restrict refunds, or require additional payments.

Violation of supplier terms may result in cancellation, denial of services, forfeiture of monies paid, additional charges, removal from travel services, or other consequences determined by the applicable supplier.

In the event of any inconsistency between these Terms and any supplier terms, the supplier terms shall govern the relevant supplier service, while these Terms shall continue to govern the relationship between Customer and ImagineLux. In any ambiguity concerning ImagineLux’s rights, obligations, or liability, the interpretation most favorable to ImagineLux shall apply.

  1. Proposals, Pricing, and Availability

All proposals, itineraries, quotes, hotel options, activity options, flight options, transportation options, and other travel arrangements are subject to availability until confirmed in writing and paid in accordance with the applicable payment terms.

Prices may change due to supplier pricing, availability, taxes, fees, exchange-rate fluctuations, fuel surcharges, government charges, seasonal adjustments, booking-class changes, or other circumstances beyond ImagineLux’s control.

ImagineLux reserves the right to correct pricing errors, omissions, typographical mistakes, currency errors, and other inaccuracies at any time, including after a proposal has been issued. Offers, incentives, promotions, and supplier benefits are subject to availability and may be changed or withdrawn without notice.

  1. Payments, Deposits, and Final Payment

Deposits, interim payments, and final payments are due in accordance with the payment schedule stated in the applicable proposal, invoice, supplier confirmation, client agreement, or other written travel documentation.

If payment is not received by the required due date, ImagineLux and/or the applicable suppliers may cancel reservations, release space, impose penalties, or treat the booking as cancelled by Customer. Deposits and other payments may be non-refundable or partially refundable depending on supplier terms and ImagineLux’s stated policies.

Customer is responsible for all bank fees, wire-transfer fees, credit card fees, foreign transaction fees, currency-conversion charges, and any other charges imposed by Customer’s bank, credit card issuer, payment processor, or financial institution.

  1. Cancellations and Refunds

All cancellations must be submitted to ImagineLux in writing. Cancellation is effective only when received and acknowledged by ImagineLux.

Customer acknowledges that supplier cancellation penalties may apply immediately upon booking and may increase as the travel date approaches. Certain arrangements may be fully non-refundable from the time of booking, including but not limited to air tickets, special-event tickets, private experiences, villas, cruises, charters, luxury properties, holiday-period reservations, and services requiring advance commitment.

Unless otherwise stated in writing, ImagineLux will refund to Customer only the amount actually refunded to ImagineLux by the applicable supplier, less ImagineLux cancellation fees, administrative fees, banking charges, transaction costs, and other applicable deductions.

Unless otherwise stated in writing, ImagineLux’s cancellation fee is USD $300 per person for an itinerary under deposit. Cancellation fees may be charged to the authorized credit card, deducted from any supplier refund, or invoiced separately.

No refund shall be issued for unused services, missed services, late arrivals, early departures, voluntary changes, denied boarding, denied entry, removal from services, or portions of an itinerary not used by Customer for any reason.

  1. Changes to Confirmed Bookings

If Customer requests changes to confirmed travel arrangements before departure, ImagineLux will make reasonable efforts to assist, subject to availability, supplier terms, operational feasibility, and any applicable service or administrative fees.

Changes may result in additional costs, increased rates, cancellation or change penalties, loss of promotional pricing, or forfeiture of previously confirmed services. No change is guaranteed until confirmed in writing by ImagineLux or the applicable supplier.

During travel, changes requested by Customer are subject to supplier availability, operational constraints, local conditions, and immediate payment of any additional costs. ImagineLux is not responsible for any loss, delay, inconvenience, or cost arising from voluntary changes requested by Customer.

  1. Air Travel and Schedule Changes

Unless expressly stated in writing, international and domestic air travel is not included in ImagineLux travel arrangements. Customer is responsible for arranging air travel and transportation to and from the starting and ending points of the booked itinerary.

Airline tickets constitute contracts between Customer and the air carrier, even when purchased through or with the assistance of ImagineLux. ImagineLux has no control over airline operations and is not responsible for airline acts, omissions, delays, cancellations, schedule changes, route changes, baggage rules, seating assignments, refund policies, rebooking policies, fuel increases, labor disputes, bankruptcy, service failures, or related personal injury or property damage.

Customer is responsible for reviewing all flight details, names, dates, times, terminals, baggage allowances, check-in requirements, and airline rules immediately upon receipt of travel documents.

  1. Travel Documents, Identification, and Entry Requirements

Customer is solely responsible for obtaining, verifying, and carrying all passports, visas, entry permits, transit permits, health documentation, vaccination records, identification documents, parental consent forms for minors, and any other documents required by governmental authorities, suppliers, airlines, cruise lines, hotels, or other service providers.

Names, dates of birth, gender markers, passport details, and other personal information must match all tickets, confirmations, travel documents, and government records. Many countries require passports to be valid for at least six (6) months beyond entry or completion of travel and may require blank visa or stamp pages.

Each country determines its own entry and exit requirements, including rules relating to prior criminal offenses, nationality, passport type, visa history, health documentation, and other criteria. Issuance of a visa, permit, electronic authorization, or travel approval does not guarantee boarding or entry, as immigration officials and carriers make final decisions.

ImagineLux does not control and does not warrant visa issuance, entry approval, transit approval, boarding approval, or government processing times. ImagineLux is not responsible for denied boarding, denied entry, deportation, missed services, additional costs, or loss of payments resulting from incomplete, incorrect, expired, insufficient, or missing documentation.

Upon receipt of travel documents, Customer must review all information for accuracy and notify ImagineLux immediately of any required correction. If Customer does not notify ImagineLux within twenty-four (24) hours of receipt, ImagineLux shall not be responsible for any additional costs related to corrections.

  1. Health, Medical, Accessibility, and Fitness to Travel

Customer is responsible for determining whether Customer and all travelers in the booking are physically, mentally, and medically capable of participating in the booked travel arrangements.

Customer is responsible for consulting qualified health professionals regarding medical conditions, medications, inoculations, vaccinations, health risks, dietary requirements, mobility limitations, pregnancy, allergies, and other personal health considerations before booking and before travel.

Facilities for disabled travelers, travelers with reduced mobility, or travelers requiring special assistance may be limited in certain destinations. Travelers requiring assistance must be accompanied by a qualified and physically capable companion when necessary. Certain transportation, hotels, activities, vessels, aircraft, vehicles, historical sites, or local services may not accommodate wheelchairs, scooters, mobility devices, or other special needs.

Customer must disclose any relevant medical, mobility, dietary, accessibility, or safety-related requirement before booking. ImagineLux will make reasonable efforts to communicate such requests to suppliers but cannot guarantee that any request will be accommodated.

  1. Safety, Travel Advisories, and Assumption of Risk

Travel to certain destinations may involve increased risk. Customer is responsible for remaining informed of current events and reviewing all applicable travel advisories, warnings, prohibitions, governmental notices, health notices, security notices, and local conditions before booking and throughout travel.

By offering, recommending, arranging, or booking travel to any destination, ImagineLux does not represent or warrant that travel to such destination is advisable, safe, appropriate, or without risk. Customer acknowledges that travel and related activities may involve inherent risks, including injury, illness, delay, inconvenience, loss, damage, evacuation, disruption, or death, whether caused by weather, acts of nature, political events, civil unrest, terrorism, crime, third parties, suppliers, contractors, other travelers, transportation providers, illness, accidents, wildlife, water conditions, terrain, or other foreseeable or unforeseeable events.

Customer voluntarily assumes all risks associated with travel and participation in all related activities. Customer agrees that ImagineLux shall not be liable for any cost, damage, injury, loss, delay, claim, or expense arising from travel to, from, or within any destination.

  1. Customer Conduct

Customer and all travelers in Customer’s party must act responsibly and comply with all laws, regulations, supplier rules, ImagineLux instructions, cultural expectations, religious customs, dress codes, safety rules, security procedures, and conduct requirements.

ImagineLux and its suppliers reserve the right to refuse service, remove any Customer from any property, facility, activity, tour, vehicle, vessel, aircraft, or other service, or terminate Customer’s participation in travel arrangements if Customer’s health, behavior, conduct, intoxication, disruption, or non-compliance endangers Customer or others, interferes with operations, threatens security, damages property, or negatively affects the experience of others. No refund shall be issued in such circumstances.

Customer is responsible for any damage, loss, fines, penalties, claims, legal expenses, or additional costs caused by Customer or by travelers in Customer’s party. Customer shall indemnify and hold ImagineLux harmless from all claims, losses, costs, damages, liabilities, and expenses arising from Customer’s conduct.

Transportation, possession, purchase, or use of illegal drugs or prohibited substances may result in immediate termination of travel and may result in prosecution. Customer is responsible for knowing and complying with all laws regarding prescription, over-the-counter, controlled, restricted, and prohibited substances in all jurisdictions visited.

  1. Baggage and Personal Property

Baggage, valuables, money, passports, travel documents, electronics, jewelry, medications, and personal effects remain Customer’s sole responsibility at all times.

ImagineLux is not responsible for loss, theft, delay, damage, misdelivery, confiscation, or destruction of baggage or personal property, whether caused by airlines, hotels, transportation providers, suppliers, government authorities, security personnel, other travelers, or third parties.

Customer should obtain adequate travel insurance to cover baggage loss, theft, delay, and damage.

  1. Hazardous Materials and Prohibited Items

Federal, international, airline, and supplier rules may prohibit passengers from carrying hazardous materials, restricted goods, weapons, flammable items, chemicals, batteries, aerosols, medical substances, or other regulated items aboard aircraft, vessels, vehicles, or other transportation, whether in luggage or on their person, except as legally permitted.

Customer is responsible for reviewing and complying with all airline, airport, cruise, transportation, border, customs, and destination restrictions regarding hazardous materials and prohibited items. Violations may result in fines, imprisonment, denied boarding, confiscation, cancellation, or other penalties.

  1. Travel Insurance

ImagineLux strongly recommends that Customer purchase comprehensive third-party travel insurance, also known as travel protection, immediately after making the first trip payment.

Unless expressly stated in writing, travel insurance is not included in the cost of travel. Travel insurance may provide coverage for cancellation, delay, interruption, medical emergencies, baggage loss, baggage damage, baggage delay, illness, supplier default, evacuation, repatriation, accidental death or disability, missed connections, job loss, and other covered events, subject to the terms of the insurance policy.

Without appropriate travel insurance, Customer acknowledges that cancellation, interruption, delay, medical emergency, evacuation, supplier failure, or other events may result in partial or total loss of payments and significant additional costs. Supplier penalties and ImagineLux cancellation fees may apply regardless of whether Customer purchased insurance.

Purchase of travel insurance is optional and is not required to purchase any other ImagineLux product or service.

  1. Itinerary Changes and Substitutions

ImagineLux and/or its suppliers may change, modify, substitute, postpone, cancel, or re-route any itinerary, accommodation, activity, transportation, guide, restaurant, route, site, sequence, or service when necessary or advisable due to weather, safety, security, operational issues, supplier changes, availability, force majeure, local conditions, traffic, closures, governmental action, or other circumstances.

If a property, supplier, activity, destination, or area is removed from an itinerary, ImagineLux may attempt to substitute a comparable alternative where reasonably available. Substitutions are not guaranteed and may differ in style, quality, location, timing, or value.

ImagineLux is not responsible for additional costs, inconvenience, disappointment, or loss arising from itinerary changes required or advisable due to circumstances beyond its reasonable control.

  1. Force Majeure

“Force Majeure” means any circumstance beyond ImagineLux’s reasonable control, including but not limited to acts of God, explosion, flood, tidal wave, tempest, wind, earthquake, fire, accident, war or threat of war, terrorism, sabotage, riots, strikes, labor disputes, civil disturbance, government action, invasion, embargo, epidemic, pandemic, sickness, quarantine, border closure, travel restriction, weather, mechanical defect, supplier failure, transportation disruption, wildlife, radioactive contamination, cyber disruption, infrastructure failure, or any other untoward occurrence.

ImagineLux shall not be in breach of these Terms and shall not be liable for delay, cancellation, alteration, non-performance, partial performance, additional costs, or loss caused by Force Majeure.

If ImagineLux or its suppliers are affected by Force Majeure, they may, in their sole discretion, vary, postpone, substitute, or cancel any itinerary or arrangement. Refunds arising from Force Majeure remain subject to supplier terms and ImagineLux’s discretion, although ImagineLux will use reasonable efforts to obtain reimbursement where possible.

ImagineLux may deduct actual and anticipated costs, supplier penalties, administrative expenses, transaction costs, and applicable cancellation fees from any recoverable refund.

With respect to civil unrest, war, terrorism, security events, health emergencies, or similar conditions, ImagineLux shall determine, in its sole discretion, whether to proceed with travel after investigating the circumstances as it deems appropriate. Customer may cancel subject to ImagineLux’s and supplier terms.

  1. Limitation of Responsibility

ImagineLux acts solely as a booking agent and travel arranger for disclosed or undisclosed principal suppliers, including hotels, airlines, cruise lines, air charters, ground transportation providers, guides, tour operators, destination management companies, boat operators, activity providers, restaurants, and other independent contractors.

ImagineLux is not the source or provider of such travel services and does not control supplier operations, staffing, maintenance, safety practices, schedules, equipment, vehicles, vessels, aircraft, properties, food preparation, accessibility, service standards, or performance.

Because ImagineLux has no control over independent suppliers, ImagineLux shall not be liable for personal injury, property damage, death, delay, loss, accident, irregularity, error, omission, service failure, partial or inadequate performance, cancellation, overbooking, denied boarding, denied entry, fuel increase, weather condition, natural disaster, supplier bankruptcy, insolvency, labor dispute, criminal act, negligence, willful misconduct, or any other matter outside ImagineLux’s direct control.

Customer releases ImagineLux from liability for the acts, omissions, negligence, willful conduct, failures, representations, warranties, or breaches of suppliers and their employees, agents, servants, contractors, subcontractors, or representatives.

  1. Disclaimer of Warranties and Limitation of Liability

All services, content, proposals, itineraries, and travel arrangements are provided “as is” and “as available,” subject to supplier terms and availability.

To the maximum extent permitted by law, ImagineLux disclaims all warranties, express or implied, including warranties of merchantability, fitness for a particular purpose, title, non-infringement, accuracy, availability, safety, quality, suitability, and uninterrupted service.

ImagineLux shall not be liable in contract, tort, strict liability, negligence, warranty, or otherwise for direct, indirect, incidental, consequential, special, punitive, exemplary, or other damages arising from or related to supplier goods or services, website use, travel arrangements, itinerary changes, cancellations, delays, missed services, personal injury, emotional distress, property damage, loss of enjoyment, or loss of opportunity.

Any recovery against ImagineLux shall be limited to the commissions and fees actually received by ImagineLux from Customer’s travel transaction during the twelve (12) months preceding the event giving rise to liability.

  1. Website Use and Intellectual Property

All content on the ImagineLux website, including text, images, logos, designs, itineraries, concepts, graphics, videos, documents, downloads, and other materials, is provided for informational purposes only and is owned by or licensed to ImagineLux unless otherwise stated.

No material from the ImagineLux website may be modified, copied, reproduced, republished, downloaded, posted, displayed, transmitted, performed, licensed, used to create derivative works, transferred, sold, framed, mirrored, or distributed without ImagineLux’s prior written consent.

Unauthorized use of website materials is strictly prohibited.

  1. Accuracy of Website and External Links

Although ImagineLux makes reasonable efforts to provide accurate and current information, website content may contain errors, omissions, outdated information, or inaccuracies. ImagineLux does not guarantee the accuracy, completeness, reliability, or timeliness of website content.

Links to external websites are provided for convenience only. ImagineLux is not responsible for the content, accuracy, reliability, availability, privacy practices, security, or policies of external websites. Customer is responsible for evaluating the accuracy, reliability, and correctness of information on such sites.

  1. Privacy

Customer information will be handled in accordance with ImagineLux’s Privacy Policy, which is incorporated by reference into these Terms and may be viewed at:

www.imaginelux.com/privacy-policy

Customer acknowledges that the provision of travel services may require ImagineLux to share personal information with third-party suppliers, booking platforms, payment processors, insurers, transportation providers, governmental authorities, and other entities as reasonably necessary to request, book, confirm, operate, modify, or support travel arrangements.

  1. Changes to These Terms

ImagineLux reserves the right to modify these Terms at any time in its sole discretion. Updated Terms will be posted on the ImagineLux website and are effective immediately upon posting unless otherwise stated.

Continued use of the website, communication with ImagineLux, request for services, approval of an itinerary, payment, or participation in travel arrangements after posting of updated Terms constitutes acceptance of the revised Terms.

  1. Violations and Cooperation with Authorities

ImagineLux reserves the right to investigate suspected violations of these Terms and to cooperate with law enforcement authorities, regulators, suppliers, payment processors, or court orders requiring disclosure of information relating to any person or activity believed to violate these Terms, applicable law, supplier rules, or security requirements.

Customer waives and holds ImagineLux harmless from claims arising from actions taken during or as a result of such investigations, disclosures, or cooperation.

  1. Governing Law, Jurisdiction, and Claims

These Terms are governed by the laws of Israel, without regard to conflict-of-law principles.

Customer consents to the exclusive jurisdiction and venue of the competent courts located in Haifa, Israel, for all disputes, claims, or proceedings arising from or relating to ImagineLux, these Terms, the website, communications, proposals, bookings, travel arrangements, or related services.

Any claim against ImagineLux must be brought within six (6) months after completion of the trip or, if the trip does not occur, within six (6) months after the scheduled completion date of the trip.

ImagineLux shall not be liable for damages other than compensatory damages, and Customer waives any right to punitive, exemplary, indirect, special, or consequential damages.

Customer may bring claims only in Customer’s individual capacity and not as a plaintiff, class member, or representative in any class, proposed class, purported class, collective, consolidated, or representative action. Customer expressly waives all rights to bring or participate in any such action.

  1. Severability

If any provision of these Terms is held invalid, illegal, or unenforceable, it shall be replaced by a valid and enforceable provision that most closely reflects the original intent. The remaining provisions shall remain in full force and effect.

  1. Entire Agreement

These Terms, together with any applicable proposal, invoice, client agreement, supplier terms, travel documentation, referenced policies, and written communications from ImagineLux, constitute the entire agreement between Customer and ImagineLux regarding travel bookings and related services.

These Terms supersede all prior or contemporaneous communications, whether electronic, oral, or written, relating to the same subject matter.

A printed version of these Terms and any electronic notice shall be admissible in legal or administrative proceedings to the same extent and subject to the same conditions as other business records.
